Terms of Service

Engagements

2.1 Scope of services

ClearDigitalPath provides digital agency services including web portal design and development, acquisition funnel engineering, brand architecture, analytics, automation, performance work, and ongoing growth partnerships. Specific deliverables, timelines, fees, and acceptance criteria are defined in the proposal, statement of work, or invoice applicable to your engagement.

2.2 Client responsibilities

You agree to provide accurate information, timely feedback, brand assets, and access needed for delivery. Delays in content, approvals, or third-party credentials may extend timelines. You remain responsible for the lawfulness of materials you supply to ClearDigitalPath, including product claims and third-party rights.

2.3 Fees, payment, and taxes

Fees are stated in the applicable commercial documents and are payable according to those terms unless agreed otherwise. Payments may be processed via ClearDigitalPath payment links. Late balances may accrue statutory interest and reasonable collection costs. VAT and other mandatory taxes, where applicable, are your responsibility unless the invoice states otherwise.

2.4 Intellectual property

Upon full payment for a project, ClearDigitalPath assigns to you the intellectual property rights in the final deliverables created specifically for that project, excluding ClearDigitalPath pre-existing tools, frameworks, methods, and third-party components, which remain with their respective owners or licensors and are licensed for project use as needed.

2.5 Confidentiality and liability

Each party will protect the other’s confidential information with reasonable care and use it only for the engagement. To the fullest extent permitted by law, ClearDigitalPath’s aggregate liability arising out of an engagement is limited to the fees paid to ClearDigitalPath for that engagement in the preceding twelve months. Nothing excludes liability that cannot be excluded under applicable law.

2.6 Governing law

These terms are governed by French law, without prejudice to mandatory consumer protections. Disputes are preferably resolved amicably via [email protected] or +33 69 83 41 52 before formal proceedings.

Refund Policy

Billing

4.1 Project engagements

ClearDigitalPath project fees generally cover non-recoverable planning, design, engineering, and coordination work. Cancellations or scope reductions are handled according to the signed proposal. If work is cancelled after kickoff, ClearDigitalPath is entitled to retain fees corresponding to work completed, committed third-party costs, and any non-cancellable stages, while refunding prepaid amounts for undelivered remaining work where commercially and legally appropriate.

4.2 Deposits and milestone payments

Deposits secure scheduling, research, and early production and are typically non-refundable once work has begun. Milestone invoices become non-refundable when the corresponding milestone has been delivered or accepted, unless ClearDigitalPath fails to perform in a material way.

4.3 Retainers and subscriptions

Ongoing growth partnership retainers are billed for a defined cycle of capacity and services. If you cancel mid-cycle, unused capacity may be forfeited unless the engagement letter states a prorated adjustment. Completed work in the cycle remains payable.

4.4 Defects and rework

If a deliverable does not materially match an approved scope document, ClearDigitalPath will correct it at no additional professional fee within a reasonable period after written notice. Refunds are not issued for feedback-driven feature additions, third-party platform outages, client-caused delays, or change requests outside the approved scope.

4.5 How to request a review

We acknowledge refund-related requests within a reasonable business period and decide cases under the applicable commercial documents and French law.
